This Agreement is between you, the client (Client, Broker, you, your) and PayBitoPro (we, our, us, developer), which is the owner and operator of an online platform for the provision of brokerage services in cryptocurrencies (the Platform) which can be accessed at www.paybito.com (the Website) or via our Android/iOS mobile Apps or desktop application.
1. Scope of Work
Client has provided a completed Ethereum smart contract (the “Contract”), and requests that Developer:
- Deploy the Contract to the Ethereum mainnet (or testnet, if applicable)
- Configure the Contract within Developer’s system/platform to enable relevant services
- Provide the deployed contract address and transaction hash to Client
- Ensure ownership of the deployed contract remains with Client (if technically applicable)
Developer will not modify the Contract code unless otherwise agreed in writing.
2. Fees and Payment
Client agrees to pay the Developer a flat, one-time fee of $1,500 USD for deployment services.
- Full payment is due upfront.
- Payment must be made in [USD via bank transfer / crypto equivalent in ETH / BTC / USDT / USDC].
3. Client Responsibilities
Client is solely responsible for:
- Providing final, production-ready smart contract code
- Ensuring the code is secure, audited, and deployable
- Verifying that deployment parameters (e.g., constructor arguments) are accurate
Developer assumes no responsibility for the function, legality, or security of the Contract.
4. No Warranty
Developer does not warrant:
- That the Contract is free from bugs or exploits
- That the Contract will function as intended
- That the deployment will succeed if the Contract code is flawed
Developer agrees only to perform the technical deployment of the code as provided.
5. Limitation of Liability
To the fullest extent permitted by law:
- Developer shall not be liable for any loss of funds, token malfunctions, or damages resulting from the Contract’s performance or failure.
- Developer’s total liability under this Agreement shall not exceed the $1,500 deployment fee.
6. Ownership and Rights
Client retains all rights, ownership, and control over the smart contract and its deployment. Developer claims no ownership over the Contract or any tokens associated with it.
7. Confidentiality
Developer will keep any non-public deployment details or client data confidential, unless disclosure is required by law.
8. Governing Law
If a dispute arises from or relates to this Agreement or the breach thereof, and if the dispute cannot be settled through direct discussions, the parties agree to endeavor first to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration. The parties further agree that any unresolved controversy or claim arising out of or relating to this Agreement, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
9. Entire Agreement
This Agreement represents the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements.
