This Agreement is between you, the client (Client, Broker, you, your) and PayBitoPro (we, our, us, developer), which is the owner and operator of an online platform for the provision of brokerage services in cryptocurrencies (the Platform) which can be accessed at www.paybito.com (the Website) or via our Android/iOS mobile Apps or desktop application.
1. Scope of Work
Developer agrees to design, develop, and deploy an Ethereum-based token (the “Token”) in accordance with the specifications provided in Exhibit A attached hereto (the "Specifications").
Services may include, but are not limited to:
- Consulting on tokenomics and blockchain structure
- Writing and testing smart contracts
- Deploying the token to the Ethereum blockchain
- Transferring contract ownership to Client
- Providing basic post-deployment support for [30] days
2. Deliverables
Developer shall deliver the following:
- Source code of the smart contract
- Deployed smart contract address
- Ownership transfer of the smart contract to Client
- Documentation including ABI and usage instructions
All deliverables shall conform to the Specifications unless otherwise agreed in writing.
3. Payment Terms
Client agrees to pay Developer the total amount of $[1,500], payable as follows:
- [100]% upfront upon signing of this Agreement
All payments shall be made in [USD / ETH / BTC / USDT / USDC].
4. Timeline
Developer will commence work within five (5) days of receiving the payment and aims to complete and deploy the Token within fifteen (15) working days. The parties acknowledge that development timelines may vary due to blockchain network conditions or required iterations.
5. Intellectual Property
Upon full payment, all intellectual property rights in and to the Token (excluding any pre-existing tools, libraries, or frameworks) shall be assigned to Client. Developer retains the right to use generalized knowledge and techniques developed during the project for other work.
6. Warranties & Disclaimers
- Developer represents that the work will conform substantially to the Specifications.
- The Developer does not guarantee that the smart contract will be free from bugs or security vulnerabilities. An independent audit is recommended.
- EXCEPT AS EXPRESSLY PROVIDED, THE WORK IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
7. Limitation of Liability
In no event shall Developer be liable for any indirect, incidental, or consequential damages, including lost profits or token value, even if advised of the possibility of such damages.
Developer's total liability under this Agreement shall not exceed the total amount paid by Client.
8. Confidentiality
Each party agrees to maintain the confidentiality of proprietary or confidential information disclosed by the other party during the term of this Agreement.
9. Governing Law & Dispute Resolution
If a dispute arises from or relates to this Agreement or the breach thereof, and if the dispute cannot be settled through direct discussions, the parties agree to endeavor first to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration. The parties further agree that any unresolved controversy or claim arising out of or relating to this Agreement, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
10. Miscellaneous
- This Agreement constitutes the entire agreement between the parties.
- Any modifications must be in writing and signed by both parties.
- This Agreement may be executed in counterparts, including by electronic means.
