These Merchant Payment Authorization Terms (“Authorization Terms”) govern each Merchant Payment authorized by a User through the PayBito Platform.
These Authorization Terms supplement the PayBito Wallet Services Agreement, Wallet Funding Terms, Card Wallet Funding Terms (where applicable), and any other applicable agreements governing the User’s use of the Platform.
By authorizing a Merchant Payment through the Platform, the User agrees to these Authorization Terms.
These Authorization Terms apply whenever a User authorizes a Merchant Payment using Wallet Assets held in a Platform Wallet.
These Authorization Terms apply regardless of how the Platform Wallet was funded.
These Authorization Terms supplement:
Where an inconsistency exists, these Authorization Terms govern solely with respect to the authorization and execution of the Merchant Payment.
A Merchant Payment is initiated only after the User submits a Payment Instruction through the Platform.
By submitting a Payment Instruction, the User instructs PayBito to process the Merchant Payment using the Wallet Assets specified by the User.
The User authorizes PayBito to:
Before submitting a Merchant Payment, the User is responsible for reviewing the payment information presented through the Platform, including, where applicable:
Submission of the Merchant Payment constitutes confirmation that the User has reviewed and approved the displayed payment information.
Merchant Payments may be processed only if sufficient available Wallet Assets exist in the User’s Platform Wallet.
Where Wallet Funding Services are available, the User may separately fund the Platform Wallet before submitting the Merchant Payment.
Wallet Funding remains an independent transaction governed by its own applicable agreements.
The User acknowledges that a Merchant Payment is a transaction separate and independent from any Wallet Funding transaction.
Wallet Funding increases the balance of the Platform Wallet.
Merchant Payment transfers Wallet Assets from the Platform Wallet to the selected Merchant.
Each transaction possesses its own authorization, contractual basis, transaction records, accounting records, operational records, and audit trail.
Completion of Wallet Funding does not authorize or complete a Merchant Payment.
Each Merchant Payment requires a separate Payment Instruction expressly authorized by the User.
Once a Merchant Payment has been successfully authorized and processed by the Platform, the User may not revoke or reverse the Merchant Payment through the Platform.
Nothing in this Section limits any rights the User may have under applicable law or under the Merchant’s applicable refund or cancellation policies.
The User independently selects the Merchant to whom the Merchant Payment will be made.
PayBito does not select Merchants on behalf of Users.
Each Merchant independently determines:
The Merchant is solely responsible for fulfilling its obligations relating to the goods or services purchased by the User.
The purchase of goods or services is solely between the User and the Merchant.
PayBito provides the Platform through which the User authorizes the Merchant Payment and through which Wallet Assets are transferred in accordance with the User’s Payment Instruction.
PayBito does not become the seller, supplier, distributor, reseller, fulfillment provider, or provider of the Merchant’s goods or services solely by facilitating the Merchant Payment.
Questions or disputes relating to:

Merchant disputes do not alter the independent nature of the Merchant Payment authorized by the User.
PayBito may provide transaction information reasonably necessary to assist the User or Merchant but does not undertake to investigate or resolve commercial disputes except where required by applicable law.
Following authorization, PayBito will process the Merchant Payment in accordance with the User’s Payment Instruction, applicable Platform procedures, and the services provided by applicable Custody & Settlement Partners.
A Merchant Payment may fail due to:
Where reasonably practicable, the Platform will notify the User if the Merchant Payment cannot be completed.
PayBito may reject, suspend, or otherwise prevent duplicate or suspected duplicate Merchant Payments where reasonably necessary to prevent accidental or fraudulent transactions.
Where a technical interruption occurs after a Merchant Payment has been authorized but before processing has been completed, PayBito may reconcile the transaction using Platform records and applicable operational procedures.
Following successful processing of a Merchant Payment, the Platform may make available a transaction receipt or transaction confirmation containing information relating to the Merchant Payment.
The transaction receipt is provided for the User’s records and does not modify the underlying authorization given by the User.
Card Wallet Funding transactions may be subject to fees. Fees applicable to Card Wallet Funding are set forth in the Card Wallet Funding & Merchant Payment Fee Schedule, which is incorporated into these Terms by reference.
Before the User authorizes a Card Wallet Funding transaction, the Platform will disclose the applicable Card Wallet Funding Fee, Funding Amount, Wallet Asset amount to be credited, Total Card Charge, and any other material transaction-specific charges.
By authorizing a Card Wallet Funding transaction, the User acknowledges that the User has reviewed and accepted the fees and Total Card Charge displayed by the Platform for that transaction.
Fees may be changed from time to time in accordance with the Card Wallet Funding & Merchant Payment Fee Schedule and applicable law. Any new or modified fee applicable to a Card Wallet Funding transaction will be disclosed to the User before the User authorizes that transaction.
By authorizing a Merchant Payment, the User expressly acknowledges and agrees that:
Immediately before submitting a Merchant Payment, the Platform may present a transaction-specific authorization requiring the User’s affirmative acceptance.
Acceptance of the transaction-specific authorization constitutes the User’s electronic authorization for the Merchant Payment and forms part of these Authorization Terms.
The Platform maintains records relating to Merchant Payments for operational, security, compliance, accounting, audit, dispute resolution, and regulatory purposes.
Such records may include transaction information, authentication records, authorization records, timestamps, transaction confirmations, settlement information, and other operational records reasonably maintained by the Platform.
The User acknowledges that the transaction records maintained by the Platform may be relied upon by PayBito, Merchants, Custody & Settlement Partners, Wallet Funding Partners (where relevant), regulatory authorities, payment service providers, financial institutions, or dispute resolution bodies as evidence that:
Merchant Payments may be authorized electronically through the Platform.
The User agrees that electronic acceptance of the transaction-specific authorization, together with the associated authentication records and transaction records maintained by the Platform, constitutes the User’s electronic signature and evidence of authorization for the Merchant Payment to the fullest extent permitted by applicable law.
Any refund relating to goods or services purchased from a Merchant shall be governed by the Merchant’s applicable refund policy.
The Merchant is solely responsible for determining whether a refund will be issued.
Where a Merchant issues a refund through the Platform, the refund may be credited to the User’s Platform Wallet or processed using another method supported by the Platform at the time the refund is processed.
The availability of any refund method may depend upon applicable law, Platform capabilities, Merchant configuration, and operational requirements.
A refund may differ from the original Merchant Payment where permitted by applicable law or agreed by the User and Merchant, including where partial refunds, applicable fees, taxes, exchange differences, or other lawful adjustments apply.
A User may cancel a Merchant Payment at any time before submitting the Payment Instruction.
Once a Merchant Payment has been authorized and submitted, the User may not cancel the Merchant Payment through the Platform.
Nothing in this Section limits any cancellation rights the User may have directly against the Merchant under applicable law or the Merchant’s applicable policies.
A Merchant may become unavailable due to:
PayBito does not guarantee the continuing availability of any Merchant.
The Platform may reject or decline a Merchant Payment where:
Merchant Payments may be reviewed for:
Merchant Payments may be delayed where reasonably necessary to complete compliance or security reviews.
PayBito may refuse to process a Merchant Payment where required by:
Users remain responsible for maintaining the confidentiality of their account credentials and authentication methods.
Users shall promptly notify PayBito if they believe:
Users should review Merchant Payment records promptly and notify PayBito without unreasonable delay regarding suspected errors.
PayBito may investigate reported errors relating to the processing of Merchant Payments.
Nothing in this Section obligates PayBito to resolve disputes relating to the Merchant’s goods or services.
PayBito may modify these Authorization Terms from time to time.
Material changes become effective upon publication or other legally sufficient notice.
Continued use of Merchant Payments after the effective date constitutes acceptance of the revised Authorization Terms where permitted by applicable law.
These Authorization Terms shall be governed by the governing law specified in the Platform Terms of Service or other applicable legal notices incorporated by reference.
If any provision of these Authorization Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Authorization Terms, together with the PayBito Wallet Services Agreement, Wallet Funding Terms, Card Wallet Funding Terms, applicable Merchant terms accepted by the User, and any transaction-specific authorization presented through the Platform, constitute the complete agreement governing Merchant Payments through the Platform.

PayBito may amend these Merchant Payment Authorization Terms from time to time to reflect changes in applicable law, regulatory requirements, Platform functionality, Wallet Services, security practices, operational procedures, or business operations.
Material changes will become effective upon publication on the Platform or by other legally sufficient notice.
Continued authorization of Merchant Payments following the effective date of revised Merchant Payment Authorization Terms constitutes acceptance of the revised Terms where permitted by applicable law.
The User may not assign or transfer any rights or obligations under these Merchant Payment Authorization Terms without the prior written consent of PayBito.
PayBito may assign or transfer its rights and obligations under these Merchant Payment Authorization Terms to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction, subject to applicable law.
Failure by PayBito to exercise or enforce any right or provision under these Merchant Payment Authorization Terms shall not constitute a waiver of such right or provision.
Any waiver shall be effective only if made in writing by an authorized representative of PayBito.
PayBito shall not be liable for any delay, interruption, failure to process, or inability to perform obligations under these Merchant Payment Authorization Terms resulting from circumstances beyond its reasonable control, including:
PayBito will use commercially reasonable efforts to resume normal operations as soon as reasonably practicable.
Merchant Payments may involve services provided by independent third parties, including Wallet Funding Partners, Custody & Settlement Partners, payment processors, banking institutions, blockchain infrastructure providers, and other service providers.
The availability, timing, and processing of Merchant Payments may depend upon the services provided by such third parties.
Nothing in these Merchant Payment Authorization Terms creates a contractual relationship between the User and any such third-party service provider unless expressly stated in a separate agreement.
Except where expressly provided by applicable law or a separate written agreement, these Merchant Payment Authorization Terms are intended solely for the benefit of the User and PayBito.
Nothing in these Merchant Payment Authorization Terms creates rights in favor of any third party.
Section headings are included solely for convenience and shall not affect the interpretation of these Merchant Payment Authorization Terms.
Unless the context otherwise requires:
These Merchant Payment Authorization Terms are prepared in the English language.
If translated into another language, the English version shall govern to the extent permitted by applicable law in the event of any inconsistency.
The following documents are incorporated into and form part of these Merchant Payment Authorization Terms:
Each of the foregoing documents governs a distinct aspect of the User’s use of the Platform. These Merchant Payment Authorization Terms govern solely the authorization and execution of Merchant Payments and should be read together with the documents incorporated by reference.
Nothing in these Merchant Payment Authorization Terms modifies or replaces the independent legal nature of Wallet Funding transactions, Merchant Payments, or the commercial relationship between the User and the Merchant.
These Merchant Payment Authorization Terms, together with the documents incorporated by reference, constitute the complete agreement between the User and PayBito relating to the authorization and processing of Merchant Payments through the Platform and supersede all prior discussions, understandings, representations, and agreements relating to the same subject matter.
