This PayBito Wallet Services Agreement governs the establishment and use of Platform Wallets, Wallet Funding, Merchant Payments, transfers, withdrawals, and other Wallet Services made available through the PayBito Platform. By registering for or using Wallet Services, the User accepts this Agreement.
“Agreement” means this PayBito Wallet Services Agreement, together with any schedules, policies, disclosures, and additional terms incorporated by reference.
“Platform” means the PayBito technology platform, including its websites, applications, software, APIs, Wallet Services, payment services, and related infrastructure made available by PayBito.
“User” means an individual or legal entity that registers for or uses Wallet Services through the Platform.
“Wallet” means a digital value account made available through the Platform that enables a User to hold, receive, fund, transfer, withdraw, and use supported Wallet Assets in accordance with this Agreement.
“Platform Wallet” means a Wallet maintained through the Platform for a User.
“External Wallet” means a wallet or account that is not maintained through the Platform but may be connected to the Platform where supported.
“Wallet Assets” means any fiat currency, digital asset, stablecoin, cryptocurrency, tokenized asset, or other supported representation of value that may be held, transferred, settled, or otherwise used through the Platform.
“Wallet Balance” means the quantity of Wallet Assets reflected in a User’s Platform Wallet as recorded by the Platform.
“Supported Assets” means the Wallet Assets designated by PayBito from time to time as eligible for funding, storage, transfer, settlement, payment, trading, withdrawal, or other supported Wallet Services.
“Wallet Funding” means any transaction that increases the Wallet Balance of a Platform Wallet through one or more supported Funding Methods.
“Funding Method” means any payment rail, transfer mechanism, financial service, or other method supported by the Platform for Wallet Funding, including payment cards, bank transfers, digital asset transfers, or other supported methods.
“Wallet Funding Partner” means any financial institution, payment processor, payment service provider, or other authorized service provider that facilitates Wallet Funding through one or more supported Funding Methods.
“Custody & Settlement Partner” means one or more licensed financial institutions, custodians, liquidity providers, settlement providers, or other regulated financial service providers engaged by PayBito to provide custody, safeguarding, settlement, conversion, transfers, withdrawals, liquidity, or related financial services in connection with Wallet Assets.
“Merchant” means a business or other organization that accepts one or more Supported Assets through the Platform as payment for goods, services, subscriptions, digital products, or other lawful offerings.
“Payment Method” means a payment capability made available by a Merchant through the Platform that enables a User to complete a Merchant Payment using one or more supported payment products or payment services.
“Payment Option” means a payment experience or payment flow made available within a Payment Method through which a User may complete a Merchant Payment.
“Wallet Funding Service” means the Platform service that enables an eligible User to fund a Platform Wallet using one or more supported Funding Methods.
“Payment Instruction” means an instruction submitted by a User authorizing the Platform to process a transfer of Wallet Assets from the User’s Platform Wallet in accordance with the User’s request.
“Merchant Payment” means an authorized transfer of Wallet Assets from a User’s Platform Wallet to a Merchant pursuant to a Payment Instruction for the purchase of goods or services.
“Merchant Purchase” means the purchase of goods or services by a User from a Merchant that the User elects to pay for through a Merchant Payment.
The Platform provides digital financial infrastructure that enables Users to establish and use Platform Wallets, fund Wallets, hold and manage Wallet Assets, make payments, receive payments, transfer value, and access other financial services made available through the Platform.
Certain regulated financial services available through the Platform are performed by one or more independent Wallet Funding Partners and Custody & Settlement Partners.
PayBito operates the Platform and provides the technology and software through which Wallet Services are made available.
PayBito may, as applicable:
PayBito performs only those services expressly described in this Agreement or other applicable Platform agreements.
Wallet Funding Partners facilitate supported Funding Methods made available through the Platform.
Depending upon the Funding Method selected by a User, Wallet Funding Partners may authorize, process, settle, or otherwise facilitate Wallet Funding transactions in accordance with applicable operating rules and legal requirements.
Wallet Funding Partners do not provide the goods or services offered by Merchants.
Custody & Settlement Partners perform regulated financial services that may include:
Such services are performed pursuant to applicable law and the agreements governing those services.
Merchants independently determine:
Merchants are solely responsible for fulfilling their obligations to their customers.
Users control the use of their Platform Wallet.
Subject to this Agreement and applicable law, Users may:
Users are responsible for all Payment Instructions they authorize.
The Platform facilitates interactions among Users, Merchants, Wallet Funding Partners, and Custody & Settlement Partners.
Except where expressly provided in an applicable agreement:
Each participant remains responsible for the services it provides.
A Merchant determines which Payment Methods are made available to its customers through the Platform.
A Payment Method may include one or more Payment Options.
Where a Merchant enables the Wallet Funding Service for a supported Payment Option, an eligible User may fund a Platform Wallet using one or more supported Funding Methods before completing a Merchant Payment.
The availability of any Payment Method, Payment Option, Wallet Funding Service, Funding Method, or Supported Asset may vary depending upon Merchant configuration, jurisdiction, regulatory requirements, technical availability, or the services made available by PayBito and its service providers.
To use Wallet Services, a User must satisfy all eligibility, identity verification, compliance, and account requirements established by PayBito or its service providers.
PayBito may refuse, restrict, suspend, or terminate Wallet Services where required by law, regulation, compliance obligations, fraud prevention policies, operational risk policies, or this Agreement.
Upon approval of a User’s account, the Platform may establish one or more Platform Wallets for the User.
Each Platform Wallet may support one or more Supported Assets designated by PayBito from time to time.
The availability of any Platform Wallet or Supported Asset may vary depending upon jurisdiction, regulatory requirements, compliance status, technical availability, or services provided by Wallet Funding Partners or Custody & Settlement Partners.
Subject to this Agreement, a User may use the Platform Wallet to:
Availability of any Wallet Service may vary by jurisdiction, Supported Asset, Merchant configuration, User eligibility, regulatory requirements, or Platform capabilities.
The Platform records the Wallet Balance associated with each Platform Wallet.
The Wallet Balance reflects the quantity of Supported Assets recorded by the Platform following completed Wallet Funding transactions, transfers, Merchant Payments, withdrawals, adjustments, reversals, fees, or other authorized transactions.
Wallet Balances may be updated in real time or at such times as transactions are completed, confirmed, settled, or otherwise recognized by the Platform or its service providers.
A User may increase the Wallet Balance of a Platform Wallet using one or more Funding Methods supported by the Platform.
Funding Methods may be made available directly through Wallet Services or through a Payment Option offered during a Merchant checkout experience.
Additional terms may apply depending upon the Funding Method selected by the User.
Where Wallet Funding Services are available, the Platform may facilitate Wallet Funding through one or more Wallet Funding Partners.
Wallet Funding Services are subject to:
Completion of a Wallet Funding transaction is subject to successful authorization and processing by the applicable Wallet Funding Partner.
Following successful completion of an eligible Wallet Funding transaction, transfer, or other supported transaction, the applicable Wallet Balance will be updated to reflect the Wallet Assets credited to the Platform Wallet.
The timing of Wallet Balance updates may vary depending upon the Funding Method, Supported Asset, processing requirements, settlement processes, network conditions, or other operational considerations.
A User authorizes the Platform to process each Payment Instruction, Wallet Funding transaction, transfer, withdrawal, Merchant Payment, or other Wallet transaction initiated or approved by the User through the Platform.
The Platform may rely upon any instruction authenticated using the User’s account credentials, security controls, authentication methods, or other verification procedures supported by the Platform.
The Platform maintains transaction records relating to Wallet Funding, Merchant Payments, transfers, withdrawals, Wallet Balance activity, and other Wallet Services.
Transaction records made available through the Platform constitute the official record of Wallet activity unless demonstrated to contain an error.
Users should promptly review transaction records and notify PayBito of any suspected unauthorized activity or errors.
PayBito may modify, suspend, limit, or discontinue any Wallet Service, Supported Asset, Funding Method, Payment Method, Payment Option, or Platform functionality at any time where reasonably necessary to:
Such actions may be taken without prior notice where immediate action is reasonably necessary.
A User may fund a Platform Wallet using one or more Funding Methods supported by the Platform.
Wallet Funding increases the applicable Wallet Balance upon successful completion of the applicable funding transaction.
Availability of Wallet Funding is subject to User eligibility, Supported Assets, Funding Methods, Merchant configuration, applicable law, regulatory requirements, and Platform availability.
The Platform may support one or more Funding Methods, including but not limited to:
The availability of any Funding Method may vary depending upon jurisdiction, Supported Assets, Wallet Funding Partners, Merchant configuration, technical capability, or regulatory requirements.
Wallet Funding transactions may be facilitated by one or more Wallet Funding Partners.
Each Funding Method may be subject to the operating rules, processing requirements, authorization procedures, settlement requirements, and eligibility criteria established by the applicable Wallet Funding Partner.
PayBito may add, remove, or replace Wallet Funding Partners without prior notice.
Certain Funding Methods may be governed by additional agreements, disclosures, acknowledgements, or funding-specific terms.
By initiating a Wallet Funding transaction using a particular Funding Method, the User agrees to any additional terms applicable to that Funding Method.
Where additional Funding Method terms conflict with this Agreement, the additional Funding Method terms shall govern solely with respect to that Funding Method.
By initiating Wallet Funding, the User authorizes:
to process the Wallet Funding transaction in accordance with the User’s instructions and the applicable Funding Method.
A Wallet Funding transaction is considered completed when the applicable Wallet Assets have been credited to the User’s Platform Wallet.
Completion of Wallet Funding does not require the User to immediately use those Wallet Assets for any particular purpose.
Wallet Assets may remain in the Platform Wallet until subsequently transferred, withdrawn, used for a Merchant Payment, traded, or otherwise used through available Wallet Services.
Wallet Funding may be unavailable or delayed due to:
PayBito may establish minimum or maximum Wallet Funding amounts, daily or periodic transaction limits, cumulative funding limits, or other operational limits.
Such limits may vary based upon:
PayBito may modify such limits at any time.
PayBito and its Wallet Funding Partners may require identity verification, source-of-funds verification, fraud prevention checks, sanctions screening, anti-money laundering reviews, or other compliance procedures before permitting Wallet Funding.
Wallet Funding may be delayed, restricted, rejected, suspended, or cancelled where required by applicable law, regulation, court order, compliance obligations, fraud prevention policies, or operational risk management requirements.
If a Wallet Funding transaction cannot be completed, the transaction may be rejected, cancelled, reversed, or otherwise handled in accordance with the applicable Funding Method, Wallet Funding Partner requirements, or applicable law.
No Wallet Assets will be credited to the Platform Wallet unless the Wallet Funding transaction has been successfully completed.
The Platform will maintain records of completed Wallet Funding transactions.
Such records may include, where applicable:
Wallet Funding records maintained by the Platform constitute the official Platform record of the transaction unless demonstrated to contain an error.
Wallet Funding and Merchant Payments are separate and independent transactions conducted through the Platform.
A Wallet Funding transaction increases the Wallet Balance of a User’s Platform Wallet using a supported Funding Method.
A Merchant Payment is a separate transaction initiated by the User through a subsequent Payment Instruction that authorizes the transfer of Wallet Assets from the User’s Platform Wallet to a Merchant.
Completion of a Wallet Funding transaction does not itself constitute, authorize, or complete a Merchant Payment.
Likewise, a Merchant Payment does not alter the independent nature or completion of the preceding Wallet Funding transaction.
Where Wallet Funding and a Merchant Payment occur during the same user session or in close succession, each transaction shall nevertheless remain a separate and independently authorized transaction for all contractual, operational, accounting, settlement, and evidentiary purposes.
Each transaction shall be governed by its applicable agreements and supported by its own transaction records and audit trail.
The Platform maintains separate transaction records for Wallet Funding transactions and Merchant Payments.
A Wallet Funding record evidences the successful funding of a User’s Platform Wallet.
A Merchant Payment record evidences the User’s subsequent authorization to transfer Wallet Assets from the Platform Wallet to a Merchant.
The existence of one transaction record does not replace, merge with, or modify the other.
Each record constitutes an independent record of the transaction it represents.
A User may use Wallet Assets held in a Platform Wallet to make payments to Merchants that accept the applicable Supported Asset through the Platform.
Merchant Payments are initiated solely by the User through a Payment Instruction.
By submitting a Payment Instruction, the User irrevocably authorizes PayBito to:
The User represents that they are authorized to use the Wallet Assets used for the Merchant Payment.
The User solely determines:
PayBito does not select Merchants, determine pricing, negotiate commercial terms, or initiate Merchant Payments on behalf of Users.
Each Merchant independently determines:
Availability of a particular Payment Method, Payment Option, Wallet Funding Service, or Supported Asset is determined by the Merchant’s Platform configuration together with applicable regulatory, technical, and operational requirements.
A Merchant Payment may only be completed if the User has sufficient available Wallet Assets required to complete the transaction.
Where Wallet Funding Services are available for the applicable Payment Option, the User may choose to fund the Platform Wallet before submitting a Merchant Payment.
Wallet Funding remains a separate transaction governed by its applicable agreements.
A Merchant Payment is completed when the Platform has successfully processed the User’s Payment Instruction and recorded the corresponding debit from the User’s Platform Wallet and the corresponding credit in accordance with the Platform’s settlement process.
Settlement, withdrawal availability, reserve requirements, compliance reviews, or other post-payment operational processes applicable to the Merchant do not affect the completion of the Merchant Payment by the User.
The contract for the purchase of goods or services is solely between the User and the Merchant.
The Merchant is solely responsible for:
Nothing in this Agreement creates a sales relationship between PayBito and the User with respect to the Merchant’s goods or services.
In connection with Merchant Payments, PayBito provides technology, payment orchestration, Wallet Services, transaction processing, recordkeeping, fraud prevention, compliance monitoring, and related Platform services.
PayBito does not become the seller, supplier, distributor, reseller, or provider of the goods or services purchased from a Merchant solely by facilitating a Merchant Payment.
The User acknowledges that the Merchant is solely responsible for the goods, services, subscriptions, digital products, or other offerings purchased through a Merchant Payment.
Questions, complaints, refund requests, cancellations, warranty claims, delivery issues, subscription disputes, or other commercial disputes relating to a Merchant’s goods or services should be directed to the applicable Merchant.
PayBito’s role is limited to facilitating the User’s authorized Wallet Funding (where applicable), Wallet Services, and Merchant Payment through the Platform.
PayBito is not responsible for the Merchant’s performance of its contractual obligations to the User.
Where requested or required, PayBito may provide transaction records or other information relating to a Merchant Payment to assist the User, Merchant, Wallet Funding Partner, Custody & Settlement Partner, or applicable governmental authority.
Nothing in this Section limits any rights or remedies available to a User under applicable law.
The Platform maintains records relating to each Merchant Payment.
Merchant Payment records may include, where applicable:
Merchant Payment records are maintained independently from Wallet Funding records.
Each Merchant Payment constitutes a transaction separate and independent from any Wallet Funding transaction.
A Merchant Payment is initiated only after the User submits a separate Payment Instruction authorizing the transfer of Wallet Assets from the Platform Wallet to the Merchant.
Where a User funds a Platform Wallet and subsequently makes a Merchant Payment during the same session or in close succession, the Wallet Funding transaction and the Merchant Payment remain distinct transactions for contractual, operational, accounting, settlement, and evidentiary purposes.
Each transaction is governed by its applicable agreements and supported by its own authorization records, transaction records, and audit trail.
Card Wallet Funding transactions may be subject to fees. Fees applicable to Card Wallet Funding are set forth in the Card Wallet Funding & Merchant Payment Fee Schedule, which is incorporated into these Terms by reference.
Before the User authorizes a Card Wallet Funding transaction, the Platform will disclose the applicable Card Wallet Funding Fee, Funding Amount, Wallet Asset amount to be credited, Total Card Charge, and any other material transaction-specific charges.
By authorizing a Card Wallet Funding transaction, the User acknowledges that the User has reviewed and accepted the fees and Total Card Charge displayed by the Platform for that transaction.
Fees may be changed from time to time in accordance with the Card Wallet Funding & Merchant Payment Fee Schedule and applicable law. Any new or modified fee applicable to a Card Wallet Funding transaction will be disclosed to the User before the User authorizes that transaction.
To protect Users, Merchants, Wallet Funding Partners, Custody & Settlement Partners, and the integrity of the Platform, PayBito may implement operational, financial, fraud prevention, compliance, and risk management controls in connection with Wallet Services.
Such controls may apply before, during, or after any Wallet Funding transaction, Merchant Payment, transfer, withdrawal, or other Wallet activity.
PayBito or its service providers may review any User, Wallet, Wallet Funding transaction, Merchant Payment, withdrawal, transfer, or other Wallet activity to:
Users agree to cooperate with any reasonable compliance review.
PayBito may require additional information or documentation relating to:
Failure to provide requested information may result in delayed, restricted, suspended, or declined Wallet Services.
The Platform may monitor Wallet Funding transactions, Merchant Payments, transfers, withdrawals, Wallet activity, and other Platform activity for fraud prevention, compliance, operational security, financial crime prevention, and risk management purposes.
Such monitoring may occur before, during, or after completion of a transaction.
PayBito may temporarily delay, restrict, suspend, or place administrative holds on Wallet Services or particular transactions where reasonably necessary to:
Any such action shall be limited to the extent reasonably necessary under the circumstances.
PayBito may decline, cancel, suspend, or refuse to process any Wallet Funding transaction, Merchant Payment, transfer, withdrawal, or other Wallet activity where:
Users are responsible for maintaining the confidentiality of their account credentials, authentication methods, and security devices.
Users shall promptly notify PayBito of:
Users should promptly review Wallet Balances, Wallet Funding records, Merchant Payment records, and transaction history.
Any suspected error should be reported to PayBito without unreasonable delay.
PayBito will investigate reported errors relating to Platform Services in accordance with applicable law, this Agreement, and applicable Platform policies.
Wallet Services may be unavailable, delayed, interrupted, modified, or restricted due to:
PayBito will use commercially reasonable efforts to maintain the availability of Wallet Services but does not guarantee uninterrupted operation.
PayBito may establish, modify, or remove operational controls, transaction limits, compliance procedures, fraud prevention measures, monitoring processes, or other risk management controls where reasonably necessary to:
Such modifications may take effect immediately where reasonably necessary to protect the Platform or comply with legal obligations.
Wallet Services may be subject to fees established by PayBito or applicable service providers.
Applicable fees, if any, will be disclosed through the Platform, the applicable service, or the relevant Funding Method before the User authorizes the applicable transaction where required by law.
By using the applicable Wallet Service, the User authorizes the deduction of applicable fees from the applicable Wallet Balance or other authorized payment source.
Certain Wallet Services may involve fees imposed by Wallet Funding Partners, Custody & Settlement Partners, payment networks, banking institutions, blockchain networks, or other third parties.
Such fees are independent of PayBito’s fees and remain the responsibility of the User or Merchant, as applicable.
Users remain solely responsible for determining, reporting, collecting, remitting, and paying any taxes arising from their use of Wallet Services, Merchant Payments, Wallet Funding, transfers, withdrawals, or any other transaction conducted through the Platform, unless applicable law expressly requires PayBito to perform such obligations.
PayBito does not provide tax advice.
Merchant Payments are processed through the Platform in accordance with the applicable Payment Method, Supported Asset, Merchant configuration, Custody & Settlement Partner requirements, and applicable operational procedures.
Settlement processes applicable to Merchants are governed by the agreements applicable to the Merchant and do not alter the completion of the User’s Merchant Payment.
Subject to this Agreement and applicable Platform policies, a User may withdraw Supported Assets from a Platform Wallet using one or more withdrawal methods supported by the Platform.
Withdrawal availability may depend upon:
Additional terms may apply to particular withdrawal methods.
By submitting a withdrawal request, the User authorizes PayBito and the applicable Custody & Settlement Partner to process the withdrawal in accordance with the User’s instructions and the operational requirements applicable to the selected withdrawal method.
Wallet Funding, Merchant Payments, transfers, settlements, and withdrawals may require varying processing times depending upon:
Estimated processing times are provided for convenience only and are not guaranteed.
Wallet Assets reflected in a Platform Wallet may be subject to temporary operational restrictions before becoming available for transfer or withdrawal.
Such restrictions may result from:
Where applicable, the Platform will reflect the availability status of Wallet Assets.
PayBito may make reasonable adjustments to Wallet Balances where necessary to:
Users will be notified where reasonably practicable unless prohibited by law or regulatory instruction.
The transaction history, Wallet Balance records, Wallet Funding records, Merchant Payment records, transfer records, withdrawal records, and other transaction records maintained by the Platform constitute the official Platform record of Wallet Services unless demonstrated to contain an error.
Users should retain their own records for tax, accounting, and business purposes.
PayBito may suspend, restrict, or temporarily disable all or part of the Wallet Services where reasonably necessary to:
Where reasonably practicable, PayBito will notify the User of such suspension unless prohibited by law or where immediate action is necessary.
A User may close a Platform Wallet and terminate Wallet Services at any time, subject to:
Certain transaction records may be retained following termination as required by law or applicable record retention policies.
PayBito may terminate or permanently restrict Wallet Services where:
Termination shall not affect rights or obligations arising before the effective date of termination.
The following provisions shall survive termination of this Agreement to the extent applicable:
The Platform, including its software, technology, trademarks, trade names, logos, documentation, content, APIs, and related intellectual property, remains the exclusive property of PayBito or its licensors.
This Agreement grants the User only a limited, non-exclusive, non-transferable, revocable right to access and use Wallet Services in accordance with this Agreement.
No ownership rights are transferred to the User.
To the maximum extent permitted by applicable law, PayBito shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of Wallet Services.
Nothing in this Agreement excludes liability that cannot be excluded under applicable law.
The User agrees to indemnify and hold harmless PayBito, its affiliates, officers, directors, employees, contractors, Wallet Funding Partners, Custody & Settlement Partners, and service providers from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:
PayBito may amend this Agreement from time to time.
Material amendments will become effective upon notice provided through the Platform, by electronic communication, or by other legally permitted means.
Continued use of Wallet Services following the effective date of an amendment constitutes acceptance of the revised Agreement where permitted by applicable law.
This Agreement shall be governed by and construed in accordance with the laws specified in the Platform’s Legal Notices or other applicable legal disclosures, without regard to conflict of law principles.
Any dispute arising under or relating to this Agreement shall be resolved in accordance with the dispute resolution procedures specified in the Platform’s Terms of Service or other applicable legal notices incorporated by reference.
Where arbitration is required by applicable agreement, the parties agree to resolve disputes through binding arbitration, except where prohibited by applicable law.
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement, together with any documents expressly incorporated by reference, constitutes the entire agreement between the User and PayBito regarding Wallet Services and supersedes all prior discussions, representations, or agreements relating to the same subject matter.

These Merchant Payment Authorization Terms form part of the PayBito legal framework governing Wallet Services and Merchant Payments.
These Merchant Payment Authorization Terms should be read together with the following documents, each of which governs a distinct aspect of the User’s use of the Platform:
Each of the foregoing documents addresses a separate legal relationship or transaction occurring through the Platform. Together, they constitute the complete legal framework governing Wallet Funding, Merchant Payments, and the User’s use of the applicable Wallet Services.
Nothing in these Merchant Payment Authorization Terms shall be interpreted to modify or replace the independent legal nature of Wallet Funding transactions, Merchant Payments, or the underlying commercial relationship between the User and the Merchant.
The User acknowledges that:
